How “NCLT” becoming “Competent Authority” unlocks a faster path to restructuring multinational group structures.
On 29th May 2026, the RBI amended the Foreign Exchange Management (Cross Border Merger) Regulations, 2018 — substituting the term “NCLT” with “Competent Authority” across four regulations. No new conditions. No changed timelines. On the surface, routine housekeeping.
But this change resolves a structural ambiguity that had quietly complicated one of the most promoter-friendly restructuring tools now available under Indian law.
The 2018 FEMA regulations pointed to NCLT. The Companies Act, from September 2024, offered an alternative path via fast-track merger under Section 233 – approved by the Regional Director, not the NCLT. That mismatch was a risk sitting inside every group restructuring exercise.
This amendment bridges that gap. The new definition — “any authority empowered under the Companies Act to approve a scheme of merger or amalgamation” — is deliberately open-ended and covers the Regional Director route in full.
What this now unlocks
SPEED
Fast-track mergers under Section 233 are now clearly within the FEMA framework — no NCLT filing needed for eligible structures.
CERTAINTY
Deemed RBI approval under Regulation 9 now operates cleanly regardless of which authority sanctions the scheme.
SCOPE
Foreign holding companies can merge into wholly owned Indian subsidiaries with a meaningfully lighter regulatory footprint.
Many Indian promoter families and founders with overseas holding structures have been deferring simplification because the regulatory path felt unclear or expensive. The September 2024 MCA amendment opened the door; this RBI alignment confirms the FEMA framework will follow you through it. Those who act during such windows typically do so at lower cost and with more flexibility for subsequent transactions.
At Store of Value, we work with promoters, founders, and family offices on transaction structuring and corporate reorganisations — helping convert evolving regulatory frameworks into decisive action.
Lead with Insight is our ongoing series where we unpack regulatory developments, structuring signals, and transaction trends that matter to promoters, developers, and family offices.
